Terms and Conditions of Sale

  1. Seller’s terms and conditions of sale contain the complete and final agreement between Purchaser and Marine Air Supply (Seller) no other agreement will be binding upon Seller unless made in writing and signed by Seller’s authorized representative.
  2. This contract is to be construed according to the laws of Maryland and is non-assignable by buyer.
  3. Quotations are valid for 30 days from the original quote date, unless otherwise noted.
  4. All resulting orders are subject to credit approval by Marine Air Supply.
  5. Payment terms printed on the front of the order acknowledgement and/or invoice supersede any contract or purchase order.   If, in our judgment, the financial condition of the Purchaser at any time does not justify the terms of payment specified, we reserve the right to require payment before shipment of customers order.
  6. A 3% processing fee will be added to all invoices being paid for by credit card. We accept Visa-Master Card & American Express.
  7. Unless specifically stated otherwise, all sales are Ex-Works (EXW) and the Purchaser shall assume all responsibility and risk of loss in connection with goods upon delivery thereof to a common carrier.
  8. Delivery promises are made in good faith, but are not guaranteed.  Seller shall not be liable for damage or failure to ship on such dates nor for delays from the manufacture or delivery of merchandise.
  9. All inventory quoted as stock is subject to prior sale.
  10. Marine Air Supply reserves the right to ship and invoice quantities that may vary 5% more or less than the exact quantity specified on the order.
  11. All items on back order for a customer or Invoiced to a customer from Marine Air Supply are considered non-cancellable and non-returnable and are considered a final sale.
  12. Claims for defective material must be made within 15 days after receipt of the shipment or Invoice date.  Merchandise returned to Marine Air Supply without prior approval from Marine Air Supply will be rejected.
  13. Any claims for shortage or any claim for credit from Marine Air Supply for any cause must be submitted to Marine Air Supply within 15 days after delivery or such claim shall be deemed waived.  The merchandise delivered hereunder is subject to the Purchaser’s inspection within 15 days after delivery or Invoice date.
  14. Items on quotations / acknowledgements are COTS items in accordance with Class Deviation 2007-O0011.  Please contact Marine Air Supply if you require an exception.
  15. The products sold by Marine Air Supply Co. Inc., including technology and software incorporated into such products, if any, are subject to the U.S. Export Laws and Regulations.  Any export of those products from the United States or Diversion of those products from original destination country is prohibited and would be subject to the restrictions, prohibitions, sanctions and penalties of the U.S. Export Laws and Regulations.  All sales by Marine Air Supply Co. Inc. whether to a domestic or international customer, are made on the condition that the purchaser shall comply with the most current export and sanction laws, regulations, and orders applicable at the time of the purchase, including, without limitation, the Export Administration Regulations (“EAR”) administered by the Bureau of Industry and Security, U.S. Department of Commerce, 15 C.F.R parts 730-744: International Traffic in Arms Regulations (“ITAR”) administered by the Office of Foreign Assets Controls, U.S. Department of Treasury, 31 C.F.R. parts 500-598; and laws and regulations of other countries (collectively, “Export Laws”) In the absence of a written acceptance of these terms and conditions of sale by the Purchaser, acceptance of any goods by the purchaser shall constitute acceptance of these terms and conditions not withstanding any contrary on inconsistent oral communications.  Marine Air’s failure to object to any contrary or inconsistent provisions contained in any request for proposal, purchase order or other written communication from Purchaser shall not be deemed a waiver or modification of these terms and conditions of sale, or acceptance by Marine Air Supply of any such contrary or inconsistent provisions.  Any deviation from these terms and conditions of sale shall not be binding on Marine Air Supply unless they are reduced to writing and signed by an officer of Marine Air Supply.
